TERMS AND CONDITIONS

1. Organiser

1.1 The L’Oréal SAPMENA Big Bang Beauty Tech Innovation Program (“Competition”) is organised by the Organiser, L’Oréal Singapore Pte Ltd (Company Registration No.: 199001413D),a company incorporated and validly existing under the laws of Singapore and having its business address at 1 Raffles Quay, North Tower, #47-01, Singapore 048583. This Competition shall be governed by the terms detailed hereinunder (collectively referred to as “Terms and Conditions”). The Organiser reserves the right in its absolute sole discretion, without prior notice and without any liability to any person at any time, to change and/or amend the Terms and Conditions herein. By submitting your Entry, you are deemed to have understood and agreed to be bound by the Terms and Conditions.

2. Eligiblity and Submission

2.1 The purpose of the Competition is to seek innovative technologies and solutions that may be utilised and commercialised in the market. Any legally incorporated company may participate in the Competition. Each company and each individual are allowed to be part of only one (1) entry for this Competition.

2.2 Applications to participate in the Competition must be submitted electronically by 13 July 2024, 23:59 SGT (GMT +8), in accordance with these terms and conditions.

2.3 Submissions must be made in English through the dedicated Competition website (bigbang.lorealsapmena.com) and relevant forms linked therein.

2.4 The Organisers have the right to verify the eligibility of each participant. Applications that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of the Organisers.

3. Competition Structure

3.1 All entries shall be first evaluated by a panel of experts to be appointed at L’Oréal’s sole discretion, with consideration given to the following criteria:

  1. Technological maturity and product market fit;
  2. Technological novelty;
  3. Sustainability;
  4. Scalability;
  5. Relevance to L’Oréal’s problem statement;
  6. Relevance to L’Oréal’s areas of interest; and
  7. Pilot potential.

3.2 The panel will shortlist applications to be invited to the Semi-Final stage, which will be conducted online. Shortlisted participants will subsequently be notified by email with details including date, time, method of  presentation and location (if applicable) of the Semi-Final stage. Further details relating to the Semi-Final stage will be released at a later date to the relevant participants.

3.3 The best participants of the Semi-Final stage will be invited to join the Grand Finale event. Further details relating to the Grand Finale will be released at a later date to the relevant participants.

3.4 Participants agree that the decisions by the Organiser and/or the judges and panel appointed by the Organiser shall be final, conclusive and binding.

3.5 Three (3) participants shall be chosen as winners in the Grand Finals (each a “” and collectively the “”), and shall each be awarded the following prizes:

(a) Participation in a co-pilot program with one of the brands owned by the L’Oréal Group;

(b) A mentorship program with a mentor from one of the L’Oréal Group’s partners.

The details of the co-pilot program and mentorship program shall be released to the Winners after the conclusion of the Competition. By accepting the prizes, each Winner acknowledges and agrees that the programs shall not create any relationship of employment, legal partnership, joint venture, or those of a principal and agent or trustee and beneficiary.

4. Disqualification

4.1 The Organiser reserves the right to exclude and/or disqualify any winner and/or reclaim any prizes if it reasonably determines in its sole discretion that the Winner:

  1. is in breach of these Terms and Conditions or violate any applicable laws/regulations; and/or
  2. undermines, has or attempted to undermine the operation of the Competition by fraud, cheating or deception.

5. Prohibited Content

5.1 Posting of any prohibited content by a participant may, in the Organiser’s sole discretion, result in the disqualification of that participant. Prohibited content includes, but is not limited to, content which, in the Organiser’s sole judgment:

  1. is offensive to the online community, such as content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  2. is offensive to other religious practices;
  3. harasses or advocates harassment of another person;
  4. involves the transmission of “junk mail”, “chain letters,” “spam,” or any other unsolicited mass mailing, e-mailing, or other communication;
  5. includes any information that the participant knows is false or misleading, promotes illegal activities or conduct that is abusive, or is threatening, obscene, defamatory, or libellous;
  6. constitutes or includes any illegal or unauthorized copy or infringement of another person’s work and/or intellectual property;
  7. displays obscene, pornographic or sexually explicit material of any kind;
  8. includes material that exploits people in a sexual or violent manner;
  9. is materially false or misleading; and/or
  10. provides instructional information about illegal activities such as making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses.

6. Personal Data

6.1 By participating in this Competition, participants consent to give their personal information and the Organiser reserves the right to publish and otherwise use the participants and winners’ names and/or photographs for purposes of publicity, advertising and/or trade without further compensation or notice.

The Organiser may also collect and use any participant’s personal data for any or all of the following purposes:

  1. performing obligations in the course of or in connection with the execution of the Competition and the provision and/or utilisation of any prizes (including sharing such data with third parties solely in pursuit or completion of these obligations);
  2. verifying your identity;
  3. responding to, handling, and processing queries, requests, applications, complaints, and feedback from you;
  4. complying with any applicable laws, regulations, codes of practice, guidelines or rules, or to assist in law enforcement and investigations conducted by any governmental and/or regulatory authority;
  5. any other purposes for which you have provided the information.

7. Intellectual Property

7.1 Intellectual Property Rights (“IPR”) means all intellectual property rights related to the materials used by any participant in the course of this Competition (“Submission”) including, without limitation, patents (including utility models), pending patent applications, copyrights (including copyrights covering software or firmware), mask works on integrated circuit mask sets, design patents, and designs (whether or not capable of registration), chip topography rights and other like protection, trade marks and any other form of statutory protection of any kind and applications for any of the foregoing as well as any trade secrets or other intellectual property rights, whether in existence now or created, invented or developed in the future.

7.2 Participation in this Competition shall not modify, transfer or otherwise affect the title, right or ownership of any copyrights, patents, trademarks, trade names, logos or any other IPR existing in any Submission unless otherwise provided for in these Terms and Conditions. Any and all such rights shall remain the exclusive property of the respective party and/or participant owning such rights unless otherwise provided for in these Terms and Conditions.

7.3 L’Oréal reserves the right to use the content of any Submissions in any publicity or promotion relating to the Competition. By participating in the Competition, you agree in your personal capacity and/or on behalf of the company you represent that L’Oréal may use the names, photos and videos (including the photos and videos taken of the finalists and winners in events and award ceremonies) and a description of the ideas or concepts shared in the Competition in any publicity or promotion relating to the Competition, and that L’Oréal has the right to publicize any prototype/product and the names of all participants without royalty or consideration. L’Oréal is not granting any IPR protection in connection with the Competition and makes no warranties of any kind related thereto. Participants are solely responsible for protecting any and all IPR in or related to any Submissions. Despite all efforts taken by L’Oréal to keep the submitted solutions confidential prior to the publication of the product or prototype, each participant understands and agrees that L’Oréal does not assume any liability for any damage resulting from the submitted product or prototype becoming public.

8. Limitation of Liability

8.1 The organiser shall not be liable for any damage, loss, or injury suffered by reason of applying and participating in this Competition. The organiser excludes liability for loss of income, loss of opportunity, personal injury, and damage to property, whether direct or indirect, consequential or foreseeable due to some negligent act or omission or otherwise.

8.2 The organiser shall not be liable or responsible for any late, lost, incomplete, incorrectly submitted, delayed, illegible, corrupted or misdirected entries or correspondence whether due to error, omission, alteration, tampering, deletion, theft, destruction, transmission interruption, technical difficulties, communications failure or otherwise, regardless of their material cause.

9. General

9.1 In the event of any inconsistency between these Terms and Conditions and the terms of any advertising, marketing or promotional materials distributed in relation to the Competition, the Terms and Conditions herein shall prevail.

9.2 The Organiser, its agents, sponsors and/or representatives shall not be liable to perform any of their obligations in respect of the Competition and the Terms and Conditions where they are unable to do so as a result of circumstances beyond their control and shall not be liable to compensate any participant in any manner whatsoever in such circumstances.

9.3 Any names, trademarks or logos used and or reproduced in any materials (including marketing and promotional materials) in connection with this Competition are the properties of their respective owners. Unless otherwise communicated, this Competition and the Organiser are not affiliated with, or endorsed or sponsored by, the relevant owners, and such owners are not part of the Organiser’s group of companies.

9.4 Participants shall not be entitled to assign any of the rights or sub-contract any of the obligations herein. The Organiser shall be entitled to assign or sub-license the whole or any part of its rights hereunder to any third party as may be determined by the Organiser.

9.5 The invalidity, illegality or unenforceability of any terms hereunder shall not affect or impair the continuation in force of the remainder of the Terms and Conditions of the Competition.

9.6 By participating in the Competition, participants agree to be bound by the decisions of the Organiser. Participant(s) who violate any rule, gain unfair advantage in participating in the Competition, or using fraudulent means for any reasons will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behaviour is prohibited. The Organiser will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Competition and the Organiser’s decisions concerning such disputes shall be final. If the conduct or outcome of the Competition is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Organiser, the Organiser reserves the right to terminate this Competition, or make such other decisions regarding the outcome as the Organiser deems appropriate. All decisions will be made by the Organiser and are final, conclusive and binding.

9.7 The Organiser reserves the right to modify, suspend or cancel this Competition in the event that it becomes not capable of running as planned, technically interfered or corrupted, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Organiser, despite the best efforts of the Organiser.

9.8 Each Winner is solely responsible for any other costs, liabilities (including tax), applications, processes or arrangements incidental or related to any prizes which are not explicitly made the responsibility of the Organiser in these Terms and Conditions. The Organiser excludes all warranties and liabilities in connection with any prizes to the fullest extent permitted by law.

9.9 The Organiser and/or its representatives shall not be liable to any participant in respect of any loss or damage whatsoever which is suffered, including but not limited to indirect or consequential loss, or for personal injury suffered or sustained by the participant arising out of or in connection with the participation by the participant in the Competition, as well as the redemption and/or utilisation of any prizes won.

9.10 The Terms and Conditions of the Competition shall be construed, governed and interpreted in accordance the laws of Singapore. Any dispute in relation to and/or arising from the Terms and Conditions shall exclusively be referred to the Singapore International Arbitration Centre (“SIAC”) and shall be subject to the prevailing SIAC rules at the material time.
